Estra is taking a strategic step forwards in its growth path in renewables generation, entering the wind power sector thanks to the acquisition of a 100% stake in Eolica PM S.r.l. from Alerion Clean Power. The company owns an operating 51.75 MW wind farmlocated in the municipalities of Morcone and Pontelandolfo in the Campania region.
The transaction has an enterprise value of €155.9 million and entails a consideration of approximately €134 million, to be paid fully in cash at closing.
The wind farm consists of 15 Vestas V117 turbines, which for the 2020-2024 period generated about 136 GWh on average per year. The plant benefits from the FER-E incentive scheme, with a minimum guaranteed price of €66/MWh up to 2039, ensuring stable and predictable revenues.
Estra’s entry into the wind power market marks a significant industrial evolution that expands the Group’s footprint in the renewables sector, in addition to photovoltaic energy and biomethane. This transaction allows to develop a more structured, resilient energy generation mix in line with the principles of pluralenergy transition — a pillar of the industrial model pursued by Plures.
The investment is fully in line with the 2025-2029 Strategic Plan, which provides for allocating €500 million to expand renewables generation with a view to strengthening energy security at the local level, increase direct energy generation and contain energy costs through new efficiencies.
With over 130 GWh of annual clean energy, the wind farm will immediately contribute to the energy autonomy of the areas served by Estra, increasing the availability of green energy and supporting the decarbonisation of consumption.
Francesco Macrì, Executive Chairman of Estra, stated: “This transaction allows Estra to make a strong move into the wind power sector, through a significant industrial investment and the acquisition of an asset of over 51 MW. This strategic step concretely and credibly strengthens our role in renewables generation, scaling up our ability to generate green energy. Increasing the Group’s production capacity means reinforcing its energy autonomy and, above all, creating the conditions for lowerenergy bills for households and businesses in the areas where we operate, thanks to the increased availability of directly generated energy and more stable and competitive costs. The acquisition of such a large plant strengthens our commitment to pluralenergy transition, able to value all available technologies and ensure security, stability and competitiveness at the local level. This investment is fully in line with our industrial vision, which is based on the development of clean sources, energy mix diversification and economic sustainability, with a central focus on the value generated for our communities. On behalf of the whole Group, I wish to thank Alerion Clean Power for the quality of dialogue and the professionalism it has shown throughout the transaction.”
Nicola Ciolini, Chief Executive Officer of Estra, added: “The acquisition of the wind farm in Morcone and Pontelandolfo marks a strategic step in strengthening our renewables portfolio. With a 52 MW plant generating over 130 GWh a year, Estra consolidates its role in the generation of clean, stable and competitive energy. This investment, which will be immediately productive, is perfectly integrated into our industrial strategy and is consistent with the growth process we have already launched in the photovoltaic and biomethane sectors. It tangibly contributes to the energy autonomy of local areas, providing more accessible energy for households and businesses. I wish to thank our financial advisor Mediobanca and our legal advisor BonelliErede for their support in the transaction.”
